1. Name and Residence of the Association

The association is named:

Ken Whyld Association (KWA) - (for the Bibliography of Chess)

The association is sited at Amsterdam. Netherlands, as an unregistered Dutch association
(Postal address: Johannes Vermeerstraat 37, NL-1071 DL Amsterdam, c/o Dr. Jurgen O. Stigter)

2. Aims of the Association


The KWA is a non-commercial organization - all contributions / expenses of the board members and the members are made voluntarily and free of charge to the KWA.

The activities of the Association will be:

Strengthening contacts and co-operation between collectors of chess literature and researchers and institutions dealing in chess literature.

Compiling a database of a universal bibliography of chess literature starting with the electronic recording of catalogued lists and data-stocks.
These datasets will be managed (and continuously improved) by the members of the KWA.

Supporting of publications dealing with chess history, and support for re-editions and reprints of relevant books or papers about chess history or chess bibliography.

Consulting / Supporting of public collections and libraries to maintain and increase their stocks of chess literature.

3. Finances

The association is financed by the annual membership fee, donations and sponsors.
The finances will be managed by the treasurer on behalf of the board.
Two cash auditors are elected annually to check the use of expenses and finances.
These auditors will not be members of the board.

Some services (like regular web site maintenance / costs for database administration / net access) are paid by the association.
A certain amount of money will be spent on projects / postage costs / hardware / software.

An annual fee (for the calendar year) will be charged from the date of joining the Association. The annual membership fee is to be paid within the first quarter of the calendar year.
Payment conditions are determined by the board, especially by the treasurer - at minimum costs for the members and the Association.

4. Liquidation of the Association

The association can be liquidated by a decision of a general meeting.
The board has to liquidate the Association - each member will get a copy of the database content (in a readable form) on CD-ROM(s) at the time of liquidation.
The funds of the Association at the time of liquidation will be given to a chess organization dealing with the history of the game or to a public institution dealing in chess literature.

5. Membership

Requests to join the Association are to be made in writing and have to be confirmed by the board.
Membership ends by a written notice to quit at the end of the calendar year.
Suspension by the board (which must be unanimous) may end membership in the event of unreasonable behaviour by a member or membership will lapse through a failure to pay the membership fee within the stipulated time (see Section 3, Finances).

6. Rights of Members

Informations about the Association will be distributed by email with corresponding links to the web site.
Participation and voting in the annual member meeting (and attending board meetings).
Candidacy for the board and expert groups.
Discounts on reprints and other publications initiated by the KWA.
Free access to the bibliographic database.

7. Duties of the Members

Payment of the annual membership fee. The amont of the fee (in Euro or in a comparable currency) will be fixed at each general meeting for the next year.

Support of the main objectives of the Association (this could be a regular contribution to the bibliographic database or participating in an expert group).
Behaving according to rules of fair business in trades / exchanges between the members.

8. Frequency of Member Meetings

There is an annual member meeting to be organized by the board.
The costs of the meeting (e.g. rent for the meeting hall, some catering during the meeting) will be covered by the Association and / or by sponsors. All other costs are covered by the participants.
There may be additional regional meetings organized by the country's representatives.

9. (Functional) Board of the Association

The (functional) board has 3 members, elected by the general meeting for a period of two years.

Deputy Chairman

Duties of the (Functional) Board
The board is running all businesses of the association in full responsibility.
Decisions on board level are decided with simple majority.
Each decision has to be reported to the members as soon as possible by email reporting and via the web site.

Board Meetings
There are three (at minimum) board meetings a year.
These meetings are organized by the chairman or another member of the board named by the chairman.
The board meeting should be attended by at least two members of the (functional) board and two members of the extended board.
There is no refund to the board of any costs caused by attending the meetings.

10. Other Functions of the Association

Several Country's representatives are named by the board to coordinate the activities in their homeland - especially in their mother-tongue.
These representatives of the most important countries or groups of countries (as North America or Scandinavia) are co-opted, non-voting members of the board.

Further Expert groups may be defined by the board to deal with special projects like the database or the publications of the Ken Whyld Association.
The head of an expert group is a co-opted, non-voting member of the board.

The board will name experts for special functions as webmaster or as
database administrator
These functions may be paid for their regular services by the association - an annual expense is defined by the board.
Services on demand have to be decided by the board.
